Terms of Service
Welcome to Clipmarket (“Clipmarket,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Clipmarket application and website located at getclipmarket.com (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About Clipmarket
Clipmarket is a prediction market platform where users trade on TikTok video virality using virtual, play-money currency (“Coins”). Clipmarket is currently in a closed alpha and is available by invitation only.
Clipmarket does not involve real money. Coins have no monetary value, cannot be redeemed for cash, and cannot be transferred outside of the Service. Clipmarket is not a gambling service, a financial exchange, or an investment platform. Nothing on Clipmarket constitutes financial advice.
2. Eligibility
To use Clipmarket, you must:
- Be at least 18 years of age.
- Be a resident of the United States.
- Be capable of forming a binding contract under applicable law.
- Not have been previously suspended or removed from the Service.
By using Clipmarket, you represent and warrant that you meet all of these requirements.
3. Accounts
3.1 Registration
You may create an account using an email address and password, or by authenticating through Google OAuth. You must provide accurate and complete information during registration and keep your account information current.
3.2 Email Verification
You must verify your email address before you can place trades on Clipmarket. Certain features may be restricted until verification is complete.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
3.4 One Account Per Person
Each person may maintain only one Clipmarket account. Creating multiple accounts to gain unfair advantage is prohibited and may result in termination of all associated accounts.
4. Coins and the In-App Economy
4.1 Nature of Coins
Coins are a virtual currency used solely within Clipmarket. They are awarded upon account creation, through daily login streaks, and through successful trades.
4.2 No Real-World Value
Coins have no cash value and are not redeemable for real currency, goods, or services. You do not own Coins in any legal or financial sense. We reserve the right to modify, reset, or remove Coin balances at any time without notice or liability.
4.3 No Purchase or Sale
Coins cannot be bought, sold, or transferred between users except through normal operation of the prediction markets within the Service.
5. Prediction Markets
5.1 How Markets Work
Clipmarket creates prediction markets based on whether specific TikTok videos will reach certain view milestones. Users trade using Coins based on their predictions.
5.2 Market Resolution
We determine market outcomes based on publicly available TikTok view count data. Our determinations are final. We reserve the right to void, cancel, or reverse any market at our sole discretion, including in cases of data errors, manipulation, or other irregularities.
5.3 Video Submissions
You may submit TikTok video URLs for consideration as future markets through our video submission feature. Submission does not guarantee that a market will be created. We reserve the right to reject any submission for any reason.
6. Acceptable Use
You agree not to:
- Manipulate or attempt to manipulate any market or its outcome.
- Use bots, scripts, automated tools, or any non-human means to interact with the Service.
- Create multiple accounts or use another person's account.
- Attempt to exploit bugs, errors, or vulnerabilities in the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Harass, abuse, or harm other users.
- Use the Service for any illegal purpose.
- Circumvent rate limits or other technical restrictions.
- Scrape, crawl, or extract data from the Service without our express written consent.
We reserve the right to investigate violations and take appropriate action, including account suspension or termination.
7. User-Generated Content
7.1 Feedback and Submissions
You may submit feedback, bug reports, and video suggestions through the Service. By submitting content to Clipmarket, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service.
7.2 Display Names
Your display name is visible to other users on leaderboards and within the app. You agree not to select a display name that is offensive, misleading, or impersonates another person.
8. Intellectual Property
All rights, title, and interest in and to the Service — including its design, code, graphics, logos, and content (excluding user-generated content) — are owned by Clipmarket or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
9. Account Suspension and Termination
9.1 By Us
We may suspend, disable, or terminate your account at any time, for any reason, with or without notice. Reasons may include, but are not limited to, violations of these Terms, suspected fraud or manipulation, or extended inactivity.
9.2 By You
You may delete your account at any time by contacting us at getclipmarket@gmail.com. Upon deletion, your trade history and Coin balance will be permanently removed.
9.3 Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. Any Coins in your account are forfeited. Provisions of these Terms that by their nature should survive termination will survive, including Sections 4.2, 10, 11, 12, and 13.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We make no representations about the accuracy or reliability of TikTok view count data or market outcomes.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLIPMARKET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
BECAUSE CLIPMARKET USES ONLY PLAY-MONEY WITH NO REAL-WORLD VALUE, YOU ACKNOWLEDGE THAT ANY LOSS OF COINS DOES NOT CONSTITUTE ACTUAL DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Clipmarket and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Carver County, Minnesota.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the “Last Updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
15. Alpha Program
Clipmarket is currently in a closed alpha testing phase. During this period:
- Features may change, be removed, or break without notice.
- Coin balances and trade history may be reset.
- Access may be revoked at any time.
- The Service is provided for testing and feedback purposes.
Your participation in the alpha does not entitle you to continued access or to any features, Coin balances, or standings that exist during the alpha period.
16. Third-Party Services
Clipmarket relies on third-party platforms and data, including TikTok. We are not affiliated with, endorsed by, or sponsored by TikTok or ByteDance. Market data is derived from publicly available information and may not always be accurate or up to date. We are not responsible for the availability or accuracy of any third-party service.
17. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clipmarket regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
